Terms of Service
Last updated: April 20, 2026
These Terms of Service (“Terms”) govern your access to and use of the websites, software, hosting, and related services (collectively, the “Services”) provided by Wigmorean Inc., a Delaware corporation (“Wigmorean,” “we,” “us,” or “our”), including the website at wigmorean.com, the Wigmorean Suite WordPress plugin ecosystem, the Wigmorean Cloud storage infrastructure, and the client portal at wigmorean.com through which we resell managed WordPress hosting, domains, professional email, and related third-party products.
By creating an account, purchasing a subscription, or using the Services, you agree to be bound by these Terms. If you do not agree, you must not use the Services.
If you are entering into these Terms on behalf of an organization, you represent that you have the authority to bind that organization, and “you” refers to that organization.
1. The Services
1.1 What We Provide
Wigmorean offers a managed WordPress platform built around the Wigmorean Suite — a proprietary ecosystem of WordPress plugins, themes, and supporting infrastructure — together with managed hosting, domain registration, professional email, content storage, and related services (“Wigmorean Services”).
We also act as an authorized reseller of third-party products, including but not limited to managed hosting, domain registration, and professional email services provided by Incsub, LLC (WPMU DEV) and other vendors (“Third-Party Services”). When you purchase Third-Party Services through us, you receive them subject to the applicable vendor’s own terms, which are incorporated by reference.
1.2 Suite Components
The Wigmorean Suite consists of numbered plugins (00 through 18, plus extensions and themes) that we license to you for use on sites we host or manage. The Suite includes features for content management, commerce, membership, media, learning management, live sessions, communities, page building, and related functionality. The specific components and their capabilities evolve over time at our discretion.
1.3 Eligibility
You must be at least 18 years old and legally able to enter into binding contracts to use the Services. The Services are not directed at children under 13, and we do not knowingly collect personal information from children under 13.
2. Account Registration
2.1 Accurate Information
When you create an account through our client portal, you must provide accurate, current, and complete information and keep it updated. You are responsible for maintaining the confidentiality of your account credentials.
2.2 Account Security
You are responsible for all activity under your account. Notify us immediately at support@wigmorean.com of any unauthorized access or security breach. We are not liable for losses resulting from unauthorized access caused by your failure to safeguard your credentials.
2.3 Separate Accounts
Your Wigmorean client portal account is separate from any WordPress administrator account we provision for you on your hosted sites. Credentials for the two are not interchangeable.
3. Subscriptions, Fees, and Billing
3.1 Subscription Plans
The Services are offered under tiered subscription plans. Current plans and pricing are published at wigmorean.com/pricing or within the client portal. Pricing is quoted in US dollars unless otherwise specified.
3.2 Billing and Payment
Subscriptions are billed on a recurring basis (monthly or annually, depending on the plan you select) through our payment processor, Stripe, Inc. You authorize us to charge your payment method on file for all fees, taxes, and applicable charges.
3.3 Auto-Renewal
Unless you cancel before the end of the current billing period, your subscription will automatically renew for another period of the same length at the then-current rate. You can cancel at any time through the client portal or by contacting billing@wigmorean.com.
3.4 Price Changes
We may change subscription prices by providing at least thirty (30) days’ notice by email or through the client portal. Price changes take effect on your next renewal. If you do not agree, you may cancel before the change takes effect.
3.5 Taxes
Prices are exclusive of applicable taxes. You are responsible for all sales, use, VAT, and similar taxes arising from your purchase, except for taxes based on our net income.
3.6 Failed Payments and Suspension
If a payment fails, we will attempt to re-charge your payment method. If the account remains unpaid after seven (7) days, we may suspend your site and associated Services. If the account remains unpaid for thirty (30) days, we may terminate the account and delete associated data.
3.7 Refunds
Except where required by law or where expressly stated in a specific offer, all fees are non-refundable. We do not provide refunds or credits for partial subscription periods, unused time, or early cancellation. Domain registration fees are non-refundable once the domain has been registered.
3.8 Third-Party Fees
When you purchase Third-Party Services through us (hosting, domains, Pro Email, etc.), the underlying third-party vendor sets the wholesale price and we add our markup. Cancellation and refund policies for Third-Party Services are governed by the applicable vendor’s terms.
4. Your Content
4.1 Ownership
You retain all ownership of the content you upload, create, or store through the Services (your “Content”), including text, images, videos, documents, code, and data. Wigmorean does not claim ownership of your Content.
4.2 License to Us
You grant Wigmorean a limited, non-exclusive, worldwide, royalty-free license to host, store, transmit, display, reproduce, and modify your Content solely to the extent necessary to provide the Services to you (for example, serving pages to visitors of your site, caching content through our CDN, creating backups, or processing content through our media pipelines). This license ends when you delete your Content or when your account is terminated, subject to reasonable backup retention periods.
4.3 Responsibility for Content
You are solely responsible for your Content, including ensuring that you have the rights necessary to upload and distribute it, and that it complies with applicable law and these Terms. You represent that your Content does not infringe the intellectual property, privacy, or other rights of third parties.
4.4 Client End Users
If your site collects information from your own end users (for example, course students, membership subscribers, or newsletter recipients), you are the data controller for that information and are responsible for your own privacy policy, consent mechanisms, and legal compliance with respect to those end users. Wigmorean is a processor acting on your behalf. See our Privacy Policy for details.
4.5 Content Removal
We may remove Content that we reasonably believe violates these Terms, applicable law, or the rights of others, and we may suspend or terminate accounts associated with violating Content. We will notify you of removals except where notice is impractical (e.g., legal compulsion).
5. Acceptable Use
5.1 Prohibited Uses
You may not use the Services to:
- violate any applicable law, regulation, or third-party right;
- distribute malware, ransomware, spyware, or other malicious code;
- send spam or unsolicited commercial communications;
- engage in phishing, fraud, or impersonation;
- host or distribute content that is defamatory, obscene, sexually explicit involving minors, or that incites violence or hatred against protected groups;
- infringe copyrights, trademarks, trade secrets, or other intellectual property rights;
- attempt to gain unauthorized access to our systems, other users’ accounts, or systems connected to our network;
- interfere with, disrupt, or overload the Services or any server or network infrastructure;
- use the Services to operate a cryptocurrency mining operation, proxy service, file-sharing hub, or similar high-abuse workload;
- resell, sublicense, or redistribute the Services to third parties except as expressly permitted through our Reseller program (if applicable to you).
5.2 Resource Limits
Your subscription plan includes specific allocations for storage, bandwidth, database size, and other resources. Exceeding those allocations may result in service degradation, throttling, additional charges, or suspension, as specified in your plan details.
5.3 Enforcement
We may investigate suspected violations and take any action we consider appropriate, including content removal, account suspension, termination, or reporting to law enforcement. We will apply our enforcement discretion in good faith and, where reasonable, provide an opportunity to cure.
6. Intellectual Property
6.1 Wigmorean IP
The Wigmorean Suite, the Wigmorean Cloud infrastructure, our website content, our branding, and all related software, documentation, designs, and materials (“Wigmorean IP”) are the property of Wigmorean Inc. and its licensors and are protected by copyright, trademark, and other laws. These Terms grant you a limited, non-exclusive, non-transferable, revocable license to use the Wigmorean IP solely in connection with your authorized use of the Services during the term of your subscription.
6.2 Restrictions
You may not:
- copy, modify, distribute, sell, lease, or sublicense the Wigmorean Suite or any portion of it outside the sites we host or manage for you;
- reverse engineer, decompile, or disassemble the Wigmorean Suite except to the extent such restriction is prohibited by law;
- remove, obscure, or alter any proprietary notices;
- use Wigmorean’s trademarks, logos, or brand elements without prior written permission.
6.3 Feedback
If you provide us with suggestions, ideas, or feedback about the Services, you grant us a perpetual, irrevocable, royalty-free license to use that feedback for any purpose without obligation to you.
6.4 DMCA Notices
We respect intellectual property rights. If you believe material on a site we host infringes your copyright, send a notice conforming to 17 U.S.C. § 512 to dmca@wigmorean.com including: (a) your signature; (b) identification of the copyrighted work; (c) identification of the infringing material and its location; (d) your contact information; (e) a good-faith statement that the use is unauthorized; and (f) a statement under penalty of perjury that the notice is accurate and that you are authorized to act. We will respond in accordance with applicable law.
7. Third-Party Services and Integrations
7.1 Vendor Dependencies
The Services depend on third-party infrastructure and tools, including but not limited to:
- WPMU DEV (Incsub, LLC) — managed WordPress hosting, Hub Client portal, reseller billing, and certain plugins
- Stripe, Inc. — payment processing
- Bunny.net — content delivery network and object storage
- Cloudflare, Inc. — DNS and edge services
- Google LLC — OAuth, Drive integration, and related APIs where clients choose to use them
- 8×8 (JaaS) — hosted Jitsi video infrastructure
When you use a feature that relies on a third-party service, you are subject to that vendor’s terms in addition to ours. We are not responsible for the acts or omissions of third-party vendors, though we will use commercially reasonable efforts to select reputable providers.
7.2 Vendor Changes
We may substitute third-party vendors at our discretion to maintain service quality, reduce cost, or replace vendors that discontinue their offerings. We will provide notice of material substitutions where practicable.
8. Service Availability and Support
8.1 Commercially Reasonable Efforts
We will use commercially reasonable efforts to keep the Services available and functional. We do not guarantee a specific uptime percentage, nor do we provide a service level agreement (SLA) with credits or refunds for downtime unless expressly agreed in a separate written enterprise contract.
8.2 Scheduled Maintenance
We may perform scheduled maintenance that results in brief downtime. Where practicable, we will provide advance notice via the client portal or email.
8.3 Support
Support is provided through the channels listed on our website. Response times vary by subscription tier. Support does not include custom development, third-party plugin debugging unrelated to the Suite, or content authorship on your behalf unless expressly included in your plan.
8.4 Backups
We maintain routine backups of hosted sites as part of the Services, but backups are provided on a best-effort basis. You remain responsible for maintaining your own independent backups of critical data.
9. Termination
9.1 Termination by You
You may cancel your subscription at any time through the client portal. Your cancellation takes effect at the end of the current billing period, and you will continue to have access until then. See Section 3.7 regarding refunds.
9.2 Termination by Us for Cause
We may suspend or terminate your access immediately, with or without notice, if:
- you materially breach these Terms and fail to cure the breach within seven (7) days of notice (or immediately for breaches that cannot be cured);
- your account has unpaid fees thirty (30) days past due;
- we are required by law, court order, or regulatory demand;
- your use creates a security, legal, or reputational risk to us or to other users.
9.3 Termination for Convenience
We may terminate the Services or your account for any reason on at least thirty (30) days’ prior notice. If we terminate for convenience, we will refund any prepaid fees for the unused portion of your subscription.
9.4 Effect of Termination
On termination, your right to use the Services ceases immediately. You may request an export of your Content within thirty (30) days of termination; after that period, we may delete your Content. We will not be liable for loss of Content that you failed to export within the retention window.
9.5 Survival
Sections 4 (Your Content — to the extent it addresses ownership and residual license), 6 (Intellectual Property), 9 (Termination), 10 (Disclaimers), 11 (Limitation of Liability), 12 (Indemnification), 13 (Disputes), and 14 (General) survive termination.
10. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WIGMOREAN DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.
We do not warrant that the Services will be uninterrupted, error-free, secure against all threats, or that all defects will be corrected. We do not warrant the accuracy, completeness, or usefulness of any Content or information obtained through the Services.
No advice or information obtained from us creates any warranty not expressly stated in these Terms.
Some jurisdictions do not allow the exclusion of implied warranties. To the extent such exclusions cannot be enforced under applicable law, the excluded warranties apply only to the minimum extent required by law.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
(a) IN NO EVENT WILL WIGMOREAN, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
(b) OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (i) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (ii) ONE HUNDRED US DOLLARS (US $100).
(c) THE LIMITATIONS IN THIS SECTION APPLY TO ALL CLAIMS, WHETHER IN CONTRACT, TORT, STATUTE, OR OTHERWISE, AND FORM AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN YOU AND WIGMOREAN.
Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages. In those jurisdictions, liability is limited to the maximum extent permitted by law.
12. Indemnification
You agree to defend, indemnify, and hold harmless Wigmorean, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:
- your Content;
- your use of the Services;
- your violation of these Terms;
- your violation of any applicable law or the rights of any third party;
- any claim brought by your own end users relating to your site or services.
We will promptly notify you of any such claim and provide reasonable cooperation in the defense, at your expense. You may not settle any claim in a manner that imposes obligations on Wigmorean without our prior written consent.
13. Dispute Resolution and Governing Law
13.1 Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
13.2 Informal Resolution
Before filing any claim, you agree to attempt to resolve the dispute informally by contacting legal@wigmorean.com and providing a written description. We will attempt in good faith to resolve the dispute within thirty (30) days.
13.3 Binding Arbitration
If the dispute is not resolved informally, any dispute, controversy, or claim arising out of or relating to these Terms or the Services will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration will be conducted in Wilmington, Delaware, or by video conference at the arbitrator’s discretion. The arbitrator’s decision will be final and enforceable in any court of competent jurisdiction.
13.4 Class Action Waiver
YOU AND WIGMOREAN AGREE TO RESOLVE DISPUTES ONLY ON AN INDIVIDUAL BASIS. NEITHER PARTY WILL PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE PROCEEDING.
13.5 Exceptions
The arbitration requirement does not apply to (a) claims for injunctive relief for unauthorized use of intellectual property, or (b) small-claims-court actions that fall within that court’s jurisdictional limits and proceed on an individual basis.
13.6 Opt-Out
You may opt out of the arbitration and class-waiver provisions by sending written notice to legal@wigmorean.com within thirty (30) days of first accepting these Terms. The notice must include your name, account email, and a clear statement that you wish to opt out.
14. General Provisions
14.1 Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email or through the client portal at least thirty (30) days before the changes take effect. Your continued use of the Services after the effective date constitutes acceptance. If you do not agree, you must stop using the Services and cancel your subscription.
14.2 Entire Agreement
These Terms, together with our Privacy Policy and any product-specific addenda or order forms, constitute the entire agreement between you and Wigmorean regarding the Services and supersede all prior agreements on the subject.
14.3 Severability
If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force and effect. The unenforceable provision will be modified only to the extent necessary to make it enforceable.
14.4 No Waiver
Our failure to enforce any right or provision is not a waiver of that right or provision.
14.5 Assignment
You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets, or by operation of law.
14.6 Force Majeure
Neither party is liable for any failure or delay in performance caused by events beyond its reasonable control, including natural disasters, war, terrorism, labor disputes, internet outages, vendor failures, or governmental action.
14.7 Relationship
These Terms do not create a partnership, joint venture, agency, franchise, or employment relationship. You are an independent contractor.
14.8 Notices
We may send notices by email to the address associated with your account or by posting in the client portal. You may send notices to us at legal@wigmorean.com or to our registered address below.
14.9 Third-Party Beneficiaries
These Terms do not create any third-party beneficiary rights.
